Terms of Service

The terms that govern authorized operator access to the Docker HyperDraft Customer Deployment Portal and to the Terraform plans, Docker images, and helper artifacts it generates.

1. Acceptance of these Terms

These Terms of Service (the "Terms") govern your access to and use of the Docker HyperDraft Customer Deployment Portal (the "Portal"), operated by HyperDraft, Inc., a Delaware corporation ("HyperDraft", "we", "us", or "our"). The Portal lets authorized operators generate Terraform configuration, download Docker images and related artifacts, and follow a guided deployment flow for HyperDraft software running in customer-owned cloud environments.

By signing in to, or otherwise accessing, the Portal, you agree to these Terms on your own behalf and, if you are accessing the Portal in the course of your employment or engagement, on behalf of the organization you represent. You represent that you have authority to bind that organization. If you do not agree to these Terms, do not access or use the Portal.

2. Scope of the Portal

The Portal provides authorized operators with:

  • A guided Terraform configurator that runs entirely in the operator's browser.
  • Client-side generation of Terraform variable files (tfvars.json) and companion helper scripts.
  • Access to customer-ready Docker images, manifests, signed checksums, and deployment documentation.
  • Step-by-step tutorials covering AWS account preparation, Google Workspace identity setup, and operational handoff.

Any cloud infrastructure created from the artifacts you download is provisioned into your or your customer's AWS account, under your AWS credentials, and operates outside of HyperDraft's control. HyperDraft does not host, manage, or monitor that infrastructure on your behalf, and the Portal does not transmit configurator field values to HyperDraft servers.

3. Operator accounts

3.1 Eligibility

Access to the Portal is limited to operators that HyperDraft has expressly authorized to deploy HyperDraft software on behalf of a named end customer, partner, or internal HyperDraft engagement. You must be at least 18 years old and legally capable of entering into a binding contract.

3.2 Authentication

Sign-in requires a single-use access code delivered to the operator email address HyperDraft has on file for you. Access codes are time-limited and tied to a single sign-in attempt. You agree to:

  • Keep your operator email address, access codes, and any session credentials confidential.
  • Not share, forward, or store access codes outside of secure operator-controlled channels.
  • Notify HyperDraft promptly at security@hyperdraft.ai of any suspected unauthorized access, lost device, or compromised inbox.

3.3 Suspension and revocation

HyperDraft may suspend, restrict, or revoke Portal access at any time, with or without notice, where we reasonably believe access is being misused, the underlying engagement has ended, the operator is no longer authorized by their organization, or continued access creates a security, legal, or compliance risk.

4. Acceptable use

You agree that you will not, and will not permit any third party to:

  • Use the Portal to generate, plan, or deploy infrastructure into AWS accounts you are not expressly authorized to administer.
  • Share generated Terraform plans, tfvars.json files, helper scripts, Docker images, or any other downloaded artifacts with parties outside the authorized engagement.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Portal, the downloaded artifacts, or any HyperDraft container image, except to the extent that applicable law expressly forbids restricting such activity.
  • Remove, alter, or obscure any proprietary notices, license terms, or signatures on downloaded artifacts.
  • Interfere with or disrupt the Portal, its underlying serverless endpoints, hosting infrastructure, or any HyperDraft system, including by introducing malware, denial-of-service traffic, or automated scraping.
  • Probe, scan, or test the vulnerability of the Portal without HyperDraft's prior written authorization, except for security testing of the customer-owned infrastructure you deploy.
  • Use the Portal in violation of applicable export-control, sanctions, anti-corruption, or data-protection laws, or to deploy HyperDraft software for any unlawful purpose.

5. Configurator values and downloaded artifacts

The configurator runs entirely in your browser. Values you enter (including AWS account IDs, region names, hostnames, VPC and subnet identifiers, Firebase project metadata, OAuth client IDs, SAML entity IDs, and similar deployment inputs) are not transmitted to HyperDraft and are not retained on HyperDraft systems. They exist only in your browser session and inside the files you choose to download.

You are solely responsible for the accuracy of those values and for any consequences of applying the generated Terraform plan to your or your customer's AWS account. Downloaded scripts, tfvars.json files, and Docker images may contain or reference sensitive configuration; you agree to store, transmit, and dispose of them in line with your organization's and your customer's security requirements.

6. Third-party services and dependencies

Deployments produced through the Portal interact with third-party services that may include Amazon Web Services, Google Workspace (for OIDC or SAML sign-in), Firebase, Stripe, and DocuSign. Your use of each third-party service is governed by that provider's own terms, pricing, and privacy policies. HyperDraft is not responsible for the availability, accuracy, billing, security posture, or policy changes of any third-party service, and a failure or change at any such provider does not constitute a breach of these Terms by HyperDraft.

7. Intellectual property and license

The Portal, the HyperDraft software it deploys, the Docker images, the configurator code, the deployment documentation, and all associated improvements are and remain the exclusive property of HyperDraft and its licensors, and are protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, HyperDraft grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Portal and to use the downloaded artifacts solely to perform the authorized customer deployment. Use of the deployed HyperDraft software inside your customer's AWS account is additionally governed by the applicable master subscription agreement, evaluation agreement, or order form between HyperDraft and that customer.

"HyperDraft", "HyperDraft.co", "Hyper OS", "Hyper Legal", and related names, logos, and product identifiers are trademarks of HyperDraft, Inc. You may not use them without HyperDraft's prior written permission, other than to factually identify the products you are deploying.

8. Feedback

If you submit suggestions, bug reports, ideas, or other feedback about the Portal, the configurator, or any HyperDraft software ("Feedback"), you grant HyperDraft a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate the Feedback into HyperDraft products and documentation, without compensation or attribution.

9. Warranty disclaimer

The Portal, the configurator, and the artifacts they produce are provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by law, HyperDraft expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.

You acknowledge that infrastructure-as-code can have material and sometimes irreversible consequences, including data loss, service outages, and unintended cloud spend. You remain responsible for reviewing each generated Terraform plan, running it against non-production environments first where practical, and confirming the result before applying it to a production environment.

10. Limitation of liability

To the maximum extent permitted by law, HyperDraft, its affiliates, and its licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, savings, business opportunity, goodwill, data, or use, arising out of or related to these Terms or the Portal, whether based in contract, tort, strict liability, or any other legal theory, and whether or not HyperDraft has been advised of the possibility of such damages.

HyperDraft's total aggregate liability arising out of or related to these Terms or the Portal, regardless of the form of action, shall not exceed the greater of (a) the fees actually paid by you or your organization to HyperDraft for the underlying engagement during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100). Where the Portal is provided to you at no charge for an evaluation or proof-of-concept engagement, the cap in clause (b) controls.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. In such cases, HyperDraft's liability is limited to the smallest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless HyperDraft, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Portal, the configurator, or the downloaded artifacts; (c) the infrastructure you provision or operate in your or your customer's cloud environment; or (d) your violation of any applicable law or any third party's rights in connection with your use of the Portal.

12. Force majeure

HyperDraft is not liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or cloud provider outages, denial-of-service attacks, or the failure of any third-party service the Portal depends upon.

13. Governing law and venue

These Terms, and any dispute arising out of or related to these Terms or the Portal, are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. The exclusive venue for any such dispute is the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Waiver of jury trial. To the maximum extent permitted by law, you and HyperDraft each waive any right to a trial by jury in any proceeding arising out of or related to these Terms or the Portal.

No class actions. To the maximum extent permitted by law, claims may be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

14. Changes to these Terms

HyperDraft may update these Terms from time to time. We will update the "Last updated" date at the top of this page when we do. For material changes, we will use commercially reasonable efforts to give you at least thirty (30) days' advance notice through the Portal or to the operator email on file. Your continued use of the Portal after an update takes effect constitutes your acceptance of the revised Terms.

15. General terms

Entire agreement. These Terms, together with any written agreement between HyperDraft and the organization on whose behalf you access the Portal, constitute the entire agreement between the parties regarding the Portal and supersede any prior or contemporaneous understandings on that subject.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without HyperDraft's prior written consent. HyperDraft may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.

Severability. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

No waiver. HyperDraft's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Relationship. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and HyperDraft.

Notices. HyperDraft may give notices under these Terms by posting them in the Portal or by sending them to the operator email on file. You may give notices to HyperDraft by email to legal@hyperdraft.ai.
